Terms of Service

These Terms of Service apply to all services provided by Just Growing GmbH, operating under the brand "Syvera", Silcherstraße 46, 71364 Winnenden, Germany (hereinafter "Syvera" or "we"), to businesses, traders and other commercial customers (hereinafter "User").

Conflicting or deviating terms of the User will not be recognised unless Syvera has expressly agreed to their application in writing.

A contract is formed by registering a user account at syvera.com and confirming these Terms of Service. By registering, the User bindingly agrees to these terms.

For paid plans, the contract is additionally formed upon completion of a payment transaction. Syvera confirms the contract by email.

Syvera provides the User with cloud-based software solutions (SaaS) via the internet. The specific scope of services results from the chosen plan and the current service description at syvera.com.

Syvera is entitled to further develop, adapt and improve the services. Material service changes will be communicated to the User with reasonable notice.

Registration is required to use the platform. The User is obliged to provide truthful and complete information and to keep it up to date.

The User is responsible for keeping their login credentials confidential. Syvera must be notified immediately of any unauthorised use. An account is not transferable.

Syvera grants the User a non-exclusive, non-transferable right to use the provided software for the duration of the agreement and to the agreed extent.

The User is not entitled to copy, rent, sell, modify or use the software for third-party purposes unless expressly agreed. Reverse engineering is prohibited.

The User undertakes to use the platform exclusively in accordance with applicable law and these terms. In particular, it is prohibited to:

Current prices are published at syvera.com/pricing and are net prices plus applicable VAT. Syvera reserves the right to adjust prices with 30 days' notice; the User has a special right of termination in this case.

Payments are due monthly or annually in advance. In the event of late payment, Syvera is entitled to block access to the platform and to charge default interest pursuant to § 288 BGB. Payment processing is handled by Stripe, Inc.

Syvera aims for a platform availability of 99.5% on a monthly average (excluding scheduled maintenance windows). Planned maintenance will be announced with reasonable notice and will preferably take place outside of peak usage times.

An entitlement to a specific availability level exists only if this has been expressly agreed in the chosen plan. Outages due to force majeure or third-party actions are not within Syvera's responsibility.

Syvera's liability is unlimited in cases of intent and gross negligence and for injuries to life, body and health. In cases of slight negligence, Syvera is only liable for the breach of material contractual obligations (cardinal obligations), and only up to the foreseeable damage typical for the contract.

Liability for indirect damages, loss of profit and data loss is excluded in cases of slight negligence, provided the User has fulfilled their obligation to make regular data backups.

Monthly contracts may be terminated with 30 days' notice to the end of the month. Annual contracts may be terminated with 30 days' notice before the end of the contract term.

Terminations must be made in writing or by email to hello@syvera.de. The right to extraordinary termination for good cause remains unaffected. After termination, data can be exported within 30 days; thereafter it will be irrevocably deleted.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for disputes with merchants is Stuttgart.

Should any individual provision of these Terms be invalid, the validity of the remaining provisions shall remain unaffected. Changes to these Terms will be communicated to the User by email and shall be deemed accepted unless the User objects within 30 days.
